From initial drafting of the articles of association to entry in the commercial register, we provide founders and investors with legally sound guidance. We place great emphasis on efficient processes to ensure a smooth launch of your company.

The Incorporation Process

  • A standard GmbH requires a minimum share capital of EUR 25,000. Of this, at least EUR 12,500 must be paid in upon incorporation. For a UG (limited liability), a share capital of between EUR 1 and EUR 24,999 may be chosen. The notary will gather the required information and prepare draft documents for further review of the articles of association and shareholder structure.

  • The incorporation documents are read aloud by the notary. During the reading, there is an opportunity to ask questions and clarify final details. Upon receipt of proof of payment of the share capital, the notary forwards the documents to the competent commercial register. In Berlin, the Amtsgericht Charlottenburg maintains the commercial register. It is known for its speed, registrations are often completed within 1 to 5 business days.

  • Particularly for tax reasons, it may be advisable to participate as an indirect shareholder through a so-called holding company. Especially in the start-up context, it is common practice for founders to each establish their own holding UG first. The incorporation of the holding company or companies can take place within the same notarization appointment, no separate appointment is required.

  • Notary fees in Germany are uniformly regulated and therefore identical across all notaries. The total one-time incorporation costs excluding share capital amount to approximately EUR 500 to 1,500. This includes fees for the notary (approx. EUR 200 to 1,000), the commercial register (approx. EUR 300), the trade office registration, and the transparency register.
